These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Mantidae LLC and its affiliated service marks, brands, and products including but not limited to Host443, bigVIRT, and LiveCentric ("Mantidae," "we," "us," or "our"), governing your use of our dedicated hosting, virtual server, GPU server, dedicated storage, and reverse proxy VPN services (collectively, the "Services"). By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

1. Services Provided

Mantidae provides hosting solutions, including:

Dedicated Servers: Full physical servers with root access, dedicated CPU, RAM, and storage.
Virtual Dedicated Servers: Virtualized server instances with guaranteed resources.
GPU Servers: Dedicated servers equipped with NVIDIA GPUs for accelerated computing.
Dedicated Storage: Private storage solutions, including NAS systems with configurable RAID.
Reverse Proxy VPN: A service offering a VPN endpoint and a public-facing reverse proxy with SSL and redirection support to expose self-hosted web services securely and obscure true hosting locations.

All Services are provided on a bare-metal or virtualized basis as applicable, giving you control over the operating system and software installed.

2. Account Creation and Eligibility

To use our Services, you must register for an account and provide accurate, complete, and current information.
You must be at least 18 years of age or the legal age of majority in your jurisdiction to enter into this agreement.
You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account.

3. Client Responsibilities

You are solely responsible for the content and data stored on your server and for all activities conducted through your Services.
You agree to comply with all applicable local, state, national, and international laws and regulations in connection with your use of the Services.
You must adhere to our Acceptable Use Policy (AUP), which is incorporated by reference into these Terms.
You are responsible for the security of your server, including patching, updates, and firewall configurations, unless otherwise explicitly agreed upon as a managed service.

4. Payment and Billing

All Services are billed in advance on a recurring basis (e.g., monthly, quarterly, annually) as per your chosen plan.
Payment is due on the invoice date. Services may be suspended or terminated for non-payment.
All fees are non-refundable unless otherwise explicitly stated in writing by Mantidae or required by applicable law.
Mantidae reserves the right to change prices for Services upon reasonable notice.

5. Service Level Agreement (SLA)

Our commitment to service availability and performance is outlined in our Service Level Agreement (SLA), which is incorporated by reference into these Terms. The SLA details our uptime guarantees and the remedies available in case of service interruptions.

6. Data Ownership and Content

You retain full ownership of all data and content stored on your server or storage device.
Mantidae does not access, monitor, or control the content on your servers unless required for technical support requested by you, or by valid legal process.
Upon termination of Services, you are responsible for retrieving your data. Mantidae will retain your data for a period of seven (7) days following termination, after which it will be securely wiped using industry-standard methods (e.g., DoD 5220.22-M) to ensure irrecoverable data destruction.
Legal Adult Content: Mantidae permits the hosting of legal adult content, provided it complies with all applicable laws and our Acceptable Use Policy.

7. Prohibited Activities

You agree not to use the Services for any purpose that is unlawful or prohibited by these Terms or the AUP. Prohibited activities include, but are not limited to, those outlined in our Acceptable Use Policy.

8. Suspension and Termination of Services

Mantidae reserves the right to suspend or terminate your Services immediately, without prior notice, if you violate these Terms, the AUP, or any applicable law.
Suspension or termination for violation may result in the forfeiture of any fees paid.
You may terminate your Services at any time by providing written notice to Mantidae according to our cancellation policy.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MANTIDAE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MANTIDAE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

11. Indemnification

You agree to defend, indemnify, and hold harmless Mantidae, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Services' content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Services.

12. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Las Vegas, Nevada.

13. Arbitration Agreement

Binding Arbitration: You and Mantidae agree to resolve any and all disputes arising out of or relating to these Terms or the Services through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.
No Class Actions: You and Mantidae agree that any arbitration or legal proceedings may be brought only on an individual basis and not as a class action, collective action, or representative action. You waive the right to participate in any class action, collective action, or representative action.
Arbitration Rules: The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be held in Las Vegas, Nevada.
Costs: Each party will bear its own costs and attorneys' fees. The arbitrator may award costs and attorneys' fees to the prevailing party if authorized by applicable law.
Injunctive Relief: Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction for alleged infringement of intellectual property rights or unauthorized access to the Services.

14. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.
